The liberal economic environment ushered in by the policy reforms in
1977, opened up a vastly expanded scope of activities for the private
sector in Sri Lanka’s development effort. MBSL has played a
significant role in this environment, thus making a substantial
contribution to both public and private sectors since its inception.
MBSL will be a catalyst in national development by promoting and
assisting both public and private sector enterprises in the country.
It provides finance as well as a range of services including the
identification, development and promotion of projects, financial and
advisory/ consultancy services.
Corporate Advisory
Services
As the pioneer Merchant Bank in the country MBSL was in the forefront
providing a wide array of corporate finance activities such as:
Project Financing - for start up companies, for business
expansions, business acquisitions etc, to all sectors in the
economy.
Loan/Equity Syndication – our success story among many
includes the syndication of over LKR 1.0 Bn in equity for
Plantation Investments Management Company (PIMC) to acquire
Regional Plantation Companies under the privatization programme
of Government. MBSL also structured and placed 320 Mn worth of
Guaranteed Debentures for a specialized leasing company.
Mergers/Acquisition & Management Buyouts - MBSL pioneered
the first management buyout in the country and arising from this
many other companies have benefited from our expertise in this
area.
Privatization - MBSL as the pioneer Merchant Bank made a
substantial contribution to the Govt’s. privatization programmes,
since the early 1980’s, by taking up equity positions,
structuring, valuation of shares and syndicating funds. MBSL has
been involved in more than 5 privatization assignments, spanning
from textile, tyre manufacturing, salt, plantation industries.
Restructuring - As a key corporate finance activity MBSL has
been involved in many restructuring assignments arising from
companies with high borrowings/financial crisis (debt
restructuring), corporate restructuring, privatization,
mergers/acquisition. |
Capital Market Activities
MBSL has been involved in Capital Market activities since inception
and offers a range of services such as:
Listing /
Initial Public Offering (IPO) of equity and debt – MBSL has
acted as Managers to the Issue for several IPOs and successfully
concluded two IPOs out of the four that took place in the year
2002, including the Tess Agro IPO, which was oversubscribed by
three times. MBSL also listed two companies in the CSE through
Introduction in the year 2002.
MBSL is a registered sponsor with the Colombo Stock
Exchange (CSE) and sponsors its clients applications to the CSE.
Management of Mandatory & Voluntary Offers – the Bank
continued to take the lead role in managing mandatory offers and
have managed nearly 10 mandatory offers and have offered three
Independent Opinions to date. This gives MBSL an undisputed
track record in equity related issues.
Employees Share Ownership Plans (ESOPs) & Stock Option Scheme
– MBSL has structured ESOP schemes for two quoted companies
during the years 2000 & 2001 and was commissioned for five other
ESOPs. MBSL has developed considerable expertise in this area
and will continue in promoting ESOPs Schemes that are unique and
best suited for each individual company.
Training & Consultancy – A new area of activity which is
being actively promoted. Activities include conducting seminars
and offering consulting services to implement new management
systems for clients such as Productivity related Techniques,
Preparation of Corporate Plan, Implementation of 5S, etc. It is
important to note that the Ministry of Employment and Labour
selected MBSL to provide consultancy services to conduct the
National Productivity Awards 2002.
